Rule 14a-8 shareholder proposal, withdrawn, followed by a complaint to the SEC's Division of Enforcement · 2022

Humane World for Animals (formerly The Humane Society of the United States) at McDonald's

Asked McDonald's to report whether it was misleading shareholders about its 2012 pledge to stop sourcing pork from producers that house pregnant sows in gestation stalls, and then asked the SEC to investigate the company's statement that 85 to 90 percent of its U.S. pork would come from sows not housed in gestation crates during pregnancy.

What happened

Result: Printed in McDonald's 2022 proxy statement as Proposal 7, then withdrawn by the Humane Society before the meeting, so it was not voted on at the annual meeting of 26 May 2022.

McDonald's own proxy statement confirmed that its suppliers keep sows out of group housing for the four to six weeks it takes to confirm pregnancy, which is the disclosure the proposal had asked for. The Humane Society withdrew the proposal on that basis and put the question to the SEC's Division of Enforcement instead.
