What happened

The priests submitted the proposal in November and a GEO attorney told regulators in a December 30 letter that the proponents' claims were false and misleading and that the company would not put the proposal to shareholders. GEO's 2026 annual meeting, on April 28, 2026, carried only the directors, the auditor and the say-on-pay vote, and no shareholder proposal. An SEC policy change that November had made it easier for companies to skip such votes without waiting for the regulator's blessing.
