What happened
Result: Not approved at the annual meeting of 2 May 2024, as Item 4: 8,941,768 votes for, 20,490,898 against, 277,706 abstentions and 1,480,311 broker non-votes, as certified in Papa John's Item 5.07 Form 8-K, which names the Humane Society of the United States as the proponent. That is 30.4 percent of the shares voted for and against, or 30.1 percent if abstentions are counted in the base.
Not approved. The Accountability Board, which was not the proponent, told Papa John's shareholders in an exempt solicitation that support for the proposal was clearly warranted, answering the company's claim to be engaging with outside organisations on the question by pointing out that it is one of them.
